COOPERATIVE AGREEMENT BETWEEN CONTRACT NO.
THE CITY OF SCANDIA AND DEPT. PUBLIC WORKS
WASHINGTON COUNTY FOR SIGN MAINTENANCE DIVISION TRANSPORTATION
TERM SIGNATURE -PERPETUAL
THIS AGREEMENT, by and between the City Scandia, a municipal corporation, herein after
referred to as the "City", and Washington County, a political subdivision of the State of
Minnesota, hereinafter referred to as the "County", shall consist of this agreement and Exhibits
A.
WHEREAS, Minnesota Statutes Section 169.06 Subd. 3 authorizes the local road authority to
place and maintain all traffic control devices including signs, signals and markings in road right
of way; and
WHEREAS, it is County policy to install and maintain signs within County Road right of way
according to the Minnesota Manual on Uniform Traffic Control Devices (MN MUTCD); and
WHEREAS, the City desires to furnish, install and maintain all signs located adjacent to or
within roadways under City jurisdiction and within the County Road right of way; and
WHEREAS, the County and the City agree that the City shall furnish, install and maintain signs
located adjacent to or within roadways under City jurisdiction and within the County Road right
of way within the City of Scandia limits as hereinafter set forth.
NOW THEREFORE, IT IS AGREED AS FOLLOWS:
CITY RESPONSIBILITIES
1. The City shall be responsible for furnishing, installing and maintaining signs located adjacent
to or within roadways under City jurisdiction and within the County Road right of way within
the City of Scandia limits. This includes but is not limited to stop signs, street signs and
Keep Right signs, sign posts, and mounting hardware, except that the County shall provide
replacement stop signs to the City as specified in this agreement.
2. All signs shall be located and installed according to the MN MUTCD.
3. The City shall maintain, repair, and replace all signs using their own forces, at the cost and
expense of the City.
4. If it is determined by the County that the sign is improperly located or installed, the City shall
make the necessary changes as specified by the County within 30 days.
5. All signs shall be manufactured and installed according to the Scandia Street Sign
Specification attached as Exhibit A.
COUNTY RESPONSIBILITIES
1. At signalized intersections, the County shall maintain responsibility for furnishing, installing,
and maintaining all signs located on the traffic signal poles and mast arms.
2. The County shall provide stop signs to the City for replacement of stop signs covered by this
agreement as needed for repair of stop signs rendered unusable by deterioration or
damage. The City shall provide all labor and installation hardware for such replacement.

3. If the County replaces or repairs any of the signs identified in paragraph 1 of the City's
responsibilities, the City shall pay the County for the entire cost of the actual labor plus
overhead and fringe benefits, materials, and equipment.
TERMINATION
The County or the City may terminate this agreement upon providing 30 days notice to the other
party. The County's termination must be accomplished by a resolution of the County Board.
The City's termination must be accomplished by a resolution from the City Council.
CIVIL RIGHTS AND NON-DISCRIMINATION
The provisions of Minn. Stat. 181.59 and of any applicable ordinance relating to civil rights and
discrimination shall be considered part of this Agreement as if fully set further herein, and shall
be part of any Agreement entered into by the parties with any contractor subcontractor, or
material suppliers.
WORKERS COMPENSATION
It is hereby understood and agreed that any and all employees of the County and all other
persons employed by the County in the performance of construction and/or construction
engineering work or services required or provided for under this agreement shall not be
considered employees of the City and that any and all claims that may or might arise under the
Worker's Compensation Act of the State of Minnesota on behalf of said employees while so
engaged and any and all claims made by any third parties as a consequence of any act or
omission on the part of said County employees while so engaged on any of the construction
and/or construction engineering work or services to be rendered herein shall in no way be the
obligation or responsibility of the City.
INDEMNIFICATION
The City agrees that it will defend, indemnify and hold harmless the County against any and all
liability, loss, damages, costs and expenses which the County may hereafter sustain, incur or be
required to pay by reason of any negligent act by the City, its agents, officers or employees
during the performance of this agreement.

To the fullest extent permitted by law, actions by the parties to this Agreement are intended to
be and shall be construed as a "cooperative activity" and it is the intent of the parties that they
shall be deemed a "single governmental unit" for the purposes of liability, as set forth in
Minnesota Statutes, Section 471.59, subd. la(b). The parties to this Agreement are not liable for
the acts or omissions of another party to this Agreement except to the extent they have agreed
in writing to be responsible for the acts or omissions of the other parties as provided for in
Section 471.59, subd. la.
Each party's liability shall be governed by the provisions of Minnesota Statutes, Chapter 466
and other applicable law. The parties agree that liability under this Agreement is controlled by
Minnesota Statute 471.59, subdivision 1 a and that the total liability for the parties shall not
exceed the limits on governmental liability for a single unit of government as specified in 466.04,
subdivision 1(a).

DATA PRIVACY
All data collected, created, received, maintained, or disseminated, or used for any purposes in
the course of this Agreement is governed by the Minnesota Government Data Practices Act,
Minnesota Statutes 1984, Section 13.01, et seq. or any other applicable state statutes and state
rules adopted to implement the Act, as well as state statutes and federal regulations on data
privacy.
IN TESTIMONY WHEREOF the parties have duly executed this agreement by their duly

EXHIBIT A
SIGN STRUCTURE SPECIFICATIONS
• All signs shall be attached to posts with drive rivets and a nylon washer between
rivet and sign facing, as illustrated in Figure 1A.
• All anchors or anchors & stabilizers shall be flush with each other, erected
straight, plumb, and 2" above the ground. Posts shall be placed 6" inside the
anchor and connected with a corner bolt and nut as illustrated in Figure 1A.
• Sign structures with neither stop signs nor street name signs shall have an
anchor and 10' post, as illustrated in Figure 1 B.
• Sign structures with stop signs only shall have an anchor, stabilizer, and 10' post,
as illustrated in Figure 1C.
• Sign structures with street name signs only shall have an anchor, stabilizer, and
12' post, as illustrated in Figure 1 D.
• Sign structures with both stop signs and street name signs shall have an anchor,
stabilizer, and 12" post, and the stop signs shall be mounted 3" below the street
name sign, as illustrated in Figure 1 E.
• Sign hardware shall conform to the following requirements:
o Anchors: 12 gauge Telespar anchors 2'/4" x 2'/4" x 4'
o Stabilizer Sleeves: 2'/2" x 18" 12 gauge Omni Sleeve
o Posts:
■ 14 gauge quick punch 2" x 2" x 10'
■ 14 gauge quick punch 2" x 2" x 12'
■ 14 gauge quick punch 2" x 2" x 13'
o Corner Bolt: 5/16" corner bolt
o Nylon Lock Nut: 5/16" nylon lock nut

SIGN PANEL SPECIFICATIONS
• All sign blanks shall constructed of no less than .080" flat aluminum with Telespar
punching.
• Sheeting for all signs shall be DG3 (Diamond Grade) Series 4090 reflective
sheeting manufactured by the 3M Company, or a mutually approved equal.
STREET NAME SIGN SPECIFICATIONS
• Street name sign panels shall be constructed of no less than .080" flat aluminum
and shall be 9" in height with 1.5" corner radii.
• Street name sign panels shall be pre -punched at the longitudinal midpoint of the
sign with holes 7/16" in diameter to fit a standard Telespar post. Two 5/16" holes
shall be pre -punched at the vertical midpoint of the sign spaced 1/2" center -on -
center from the edge of the sign panel.
• Street name sign panels signs shall be secured together back-to-back using a
Cherry Mate and PVC spacer equal to the width of the Telespar support post.
• Signs shall be single faced with DG3 Series 4090 reflective sheeting
manufactured by the 3M Company, or a mutually approved equal.
• Public street identification signs shall be green with white lettering and border,
and private street signs shall be blue with white lettering and border.
• Street name signs shall utilize 6" letters for street name and 3" letters for street
suffix (e.g. Av., Ct., Blvd.) and block numbers, and shall include a 6" city logo to
the left of the street name. Font shall be ClearviewOne with upper and lower
case letters for both the street name and street suffix.
• A minimum of 1.0" of green or blue background shall be provided on all sides of
the sign legend not including the white border area on the perimeter of the sign,
except that 0.75" of green or blue background shall be provided above and below
the street suffix and block numbers.
• The City logo shall be placed to the left of all lettering and shall include a
minimum of 1.0" of green or blue background on all sides.
• Right arrows, when used, shall be placed to the right of all lettering.
• Left arrows, when used, shall be placed to the left of the City logo.
All signs shall conform to all requirements of the current edition of the
Minnesota Manual on Uniform Traffic Control Devices (MN MUTCD).
