I. Parties. This AGREEMENT governsthe rights and responsibilities of Great River Greening (hereafter
referred to as GRG) and the City of Scandia (hereafter referred to as City), where Great River Greening has
been retained to perform services forthe contracting party.
II. Scope of Services. GRG and the City agree to partnertogether to achieve the below restoration and
enhancement objectives at Wind in the Pines.
Greening Responsibilities
Coordinate treatmentof buckthorn, honeysuckle and amur maple across 64 acres
Hiring and oversightof natural resource contractorto execute work
Grant administration and reporting
City Responsibilities
Allow access to Wind in the Pines for management activities
Provide commenton proposed treatmentmethodsfor buckthorn, honeysuckle and amur
maple
Notify Greening of any City stipulations ordates that would affectthe work
III. Budget and Schedule of Payments.
Budgetfor the project as detailed in Scope of Services above is as follows:
Total ProjectCosts: $ 39,800
Greening Contributions $ 39,300
C/ty Contributions: $ 500
Fundingforthis projectis provided by the Outdoor Heritage Fund as recommended bythe Lessard -Sams
Outdoor Heritage Council (L-SOHC)through Great River Greening's membership in the Metro Big Rivers
Partnership. The City agreesto the conditions as outlined in ExhibitA.
Schedule of Payments. The City will make paymenttotaling $500 to GRG based on submitted invoice.
IV. Limitation of liability. The City shall indemnify GRG and hold it harmless from and againstany loss,
claims, liabilities, damages and costs, including reasonable attorney's fees, related to the Projector the
performance of their services pursuantto this Agreement, unless caused by the negligence of GRG, its
agents or employees.

pursuantto this Agreement, unless caused by the negligence of the City, its agents or employees.
V. Amendment. This Agreementmay be amended only in a written documentsigned by both parties.
VI. Independent Contractors. Each party, its officers, agents and employees are atall times an independent
contractor to the other party. Nothing in this Agreementshall be construed to make orrender eitherparty or
any of its officers, agents, or employees an agent, servant, or employee of, orjoint venture of or with, the
other.
VII. Entire Agreement. This Agreement represents the entire agreementand understanding of the parties
hereto with respect to the subject matterof this Agreement, and it supercedes all priorand concurrent
agreements, understandings, promises or representations, whetherwritte n or oral, made by either party to
the other concerning such subject matter.
VIII. Insurance. GRG agrees to maintain during the term of this Consulting Contractthe following insurance:
Workers Compensation Insurance, Commercial General Liability(with coverage no more restrictive that that
provided for by standard ISO Form CG 00 01 11 88 or CG 00 01 10 93 with standard exclusions "a" through
"n") with a minimum limitof $1,000,000.00 peroccurrence and $2,000,000.00 in the aggregate for bodily
injury and property damages, the limitspecified maybe satisfied with a combination of primaryand
Umbrella/Excess Insurance.
IX. Waiver. The failure of either party to insist in anyone or more instances upon strict performance of any of
the provisions of this Agreement shall not be construed as a waiver or rel inquishmentofthe rightto enforce
or require compliance with such provision.

X. Applicable Law. This Agreement shall be governed by and construed in accordance with the laws of the
state of Minnesota.
XI. Termination. This agreement maybe terminated by either party, with or without cause upon 30 days written
notice to GRG or the Authorized Agent of the City. This Agreement may also be terminated by GRG upon
seven-day written notice to the City in the eventthat Projectfunding isdisrupted orterminated bythe State.
XII. Completion. Work forthis Projectwill be performed by June 15, 2026, unless circumstances beyond GRG's
control that prevents GRG from completing the Project.

EXHIBIT A: State of Minnesota — 2021 Outdoor Heritage Fund
Metro Big Rivers Habitat — Phase 11

Great River Greening has received as an appropriation under Minn. Laws 2021,1 st Special Session, Chapter 104, Article 1,
Section 2, Subd 5(b) Metro Big Rivers Phase XI, $684,000 is from the fund to the commissioner of natural resourcesforan
agreementto acquire land in fee and permanent conservation easements and to restore and enhance natural systems
associated with the Mississippi, Minnesota and St. Croix Rivers and their tributaries in the metropolitan area and as provide d in
Minnesota Statutes, section 84.026.
As a recipientof this funding,the Landowneris subjectto the terms below:
COMPLIANCE
The Landowner acknowledges thatthese funds are proceedsfrom the State of Minnesota Outdoor Heritage Fund which is
subjectto certain legal restrictions and requirements, including Minnesota Statutes Chapter 116P. The Landowner is
responsible for com pliance with this and all other relevantstate and federal laws and regulations in the fulfillmentof the
Project.
LIABILITY
The Landownerm ustindemnify, save, and hold the State, its agents, and employees harmless from any claims or causes
of action, including attorney's fees incurred by the State, arising from the performance of this grant agreement by the
Grantee or the Grantee's agents or employees. This clause will not be construed to bar any legal remedies the Grantee
may have for the State's failure to fulfill its obligations underthis grantagreement.
ACCESS AND MONITORING
The Landowner agrees to allow the Recipient and the State access at any time to conduct periodic site visits and
inspections to ensure work progress in accordance with this grant agreement, including a final inspection upon program
completion. Atleast one monitoring visit per grant period on all state grants of over $50,000 will be conducted and at least
annual monitoring visits on grants of over $250,000.
Following closure of the program, the State's authorized representatives shall be allowed to con duct post -corn pletion
inspections of the site to ensure that the site is being properly operated and maintained and thatno conversion of use has
occurred.
ACKNOWLEDGMENTS AND ENDORSMENT
Acknowledgment. The Landowner mustacknowledgefinancial supportfrom the Outdoor Heritage Fund in program
publications, signage and other public communication and outreach related to work completed using the appropriation.
Acknowledgment may occur, as appropriate, through use of the fund logo or inclusion of language attributing supportfrom
the fund.
Endorsement. The Landowner must not claim thatthe State endorsesits productsor services.
ECOLOGICAL AND RESTORATION PLAN
For all restorations, the Grantee in coordination with the Landowner must prepare and retain an ecological restoration and
managementplan that, to the degree practicable, is consistent with current conservation science and ecological goals for
the restoration site. Consideration should be given to soil, geology, topography, and other relevantfactors that would
provide the best chance for long-term success and durabilityofthe restoration.The plan must includethe proposed
timetable for implementing the restoration, including, butnot limited to, site preparation, establishmentof diverse plant
species, maintenance, and additional enhancementto establish the restoration; identify long-term maintenance and
management needs of the restoration and how the maintenance, management, and enhancementwill be financed; and use
current conservation science to achieve the best restoration.
LONG TERM MANAGEMENT
As a partner with Great River Greening, the Landowner corn mits to maintaining the investment put forward overtime.
